Client Engagements
Proposals and Scope: All project engagements begin with a written proposal or SOW that clearly defines the scope of work, deliverables, timeline, revision rounds (if applicable), and total fee. Work does not commence until both parties have agreed to the proposal in writing (email confirmation is sufficient).
Client responsibilities: You agree to provide timely access to any accounts, assets, content, login credentials, or approvals reasonably required to deliver the agreed services. Delays caused by late client responses may affect agreed timelines without affecting payment obligations.
Revisions: The number of revision rounds included is specified in each proposal. Additional revisions beyond the agreed rounds may be billed at an hourly rate communicated in advance.
Payment & Fees
Project-based work: Fixed-price projects typically require a 50% deposit before work begins, with the remaining 50% due on completion and prior to final file delivery or site launch. Payment terms are specified in each proposal.
Monthly retainers: Retainer fees are invoiced at the start of each billing cycle and are due within 7 days of the invoice date unless otherwise agreed in writing.
Ad spend: For paid advertising campaigns, ad spend is billed directly to the client's own ad account (Google Ads, Meta Business Manager, etc.) and is separate from our management fee. We do not hold or manage client ad spend funds.
We accept payment via bank transfer, PayPal, Stripe, or Wise. Preferred payment method will be specified on each invoice.
Intellectual Property
Client-owned deliverables: Upon receipt of full payment, you own all final deliverables created specifically for you under the engagement — including website files, ad creatives, copy, and content.
Tools, templates, and frameworks: We retain ownership of any pre-existing tools, templates, proprietary processes, code frameworks, or methodologies used in the creation of your deliverables. These are licensed to you for use in the agreed deliverable but are not transferred.
Portfolio rights: We reserve the right to display completed work in our portfolio, case studies, and marketing materials unless you explicitly request confidentiality in writing before the project commences.
Confidentiality
Both parties agree to keep confidential any proprietary or sensitive business information shared during the course of an engagement ("Confidential Information"). This includes business strategies, financial data, audience data, ad account performance, and any information marked as confidential.
Exceptions apply where disclosure is required by law, court order, or regulatory authority, or where the information is already publicly available through no fault of the receiving party.
Results & Disclaimers
No guarantees of specific results. Digital marketing results depend on many factors outside our control, including market conditions, platform algorithm changes, competition, ad spend, and your product or service quality.
While we have a strong track record of delivering measurable results for US clients, we cannot and do not guarantee specific outcomes such as a defined number of leads, a specific ranking position, a guaranteed ROAS, or a precise revenue figure.
Any performance data, projections, or case studies referenced on this website are illustrative of past results and are not a guarantee of future performance.
We commit to transparent reporting, proactive optimisation, and honest communication about what is and isn't working throughout every engagement.
Limitation of Liability
To the fullest extent permitted by applicable law, TheDigitalRavi and Ravi Kumar shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from:
Our total aggregate liability to you for any claim arising out of or related to the Services shall not exceed the total fees paid by you to us in the three months prior to the event giving rise to the claim.

Termination
Monthly retainers may be cancelled by either party with 30 days' written notice (email is sufficient). Work and billing continue during the notice period unless otherwise agreed.
Fixed-price projects may be cancelled by the client before work commences for a full refund of any deposit paid. Once work has commenced, the deposit is non-refundable. If the project is cancelled mid-build, a pro-rated fee for work completed to date will be invoiced.
Mutual respect policy: We are committed to professional, respectful relationships with all clients. We expect the same in return. Either party may end an engagement at any time if the working relationship becomes untenable, with reasonable notice.

Changes to These Terms
We reserve the right to update or modify these Terms at any time. When changes are made, we will update the "Last Updated" date at the top of this page.
